Private Office Membership Agreement

By completing your signup and submitting payment, you (“Member”) agree to the following terms governing your use of a private office at 201 East Camperdown Way, Greenville, South Carolina 29601 (“Property,” “we,” “us,” or “Operator”).

Nature of Agreement (Not a Lease)

This agreement is a revocable, month-to-month membership license, not a lease.

  • No landlord-tenant relationship is created

  • No exclusive possession rights are granted beyond permitted use

  • We retain full control of the premises at all times

Your right to occupy the space is conditional upon compliance with this agreement.

Term & Termination

This membership operates on a month-to-month basis.

We reserve the right to:

  • Terminate your membership at any time, for any reason, with or without notice

  • Suspend or restrict access at our discretion

Upon termination, you agree to:

  • Vacate immediately or within the timeframe we provide

  • Remove all personal belongings

  • Return the office to its original condition

Any property left behind may be removed or disposed of at our discretion

Payment Terms

  • Monthly membership fees are due on the 1st of each month

  • A grace period is provided through the 5th of the month

If payment is not received by the 5th:

  • We reserve the right to immediately suspend access (including keycode lockout)

  • Access will not be restored until payment is received in full

If payment remains outstanding:

  • We may terminate your membership

  • You remain responsible for any unpaid balances

We reserve the right to charge late fees and recover costs associated with collection.

Security Deposit

  • Must be paid prior to occupation of private office

  • It may be used to cover damages, unpaid fees, cleaning, or restoration

  • Any remaining balance may be refunded after inspection

  • We are not required to return deposits prior to confirming the condition of the space

Condition, Modifications & Restoration

You may use and reasonably personalize your office; however:

  • You are responsible for any damage beyond normal wear and tear

  • You must return the office to its original condition upon termination

  • This includes removal of:

    • Fixtures

    • Adhesives

    • Wall modifications

    • Equipment or installations

If restoration is required:

  • We may perform the work and bill you accordingly

Cleanliness & Maintenance

You agree to maintain your office in a clean, sanitary, and safe condition at all times.

This includes:

  • Proper disposal of trash

  • Avoiding food waste, odors, or pest-attracting conditions

  • Maintaining general hygiene of the space

Failure to maintain acceptable conditions may result in:

  • Required remediation

  • Fees

  • Immediate termination

Conduct & Community Standards

To ensure a professional environment, you agree to:

  • Respect other members and their offices

  • Not enter, access, or interfere with other occupied spaces

  • Maintain reasonable noise levels

  • Conduct yourself in a professional and respectful manner

Disruptive, unsafe, or inappropriate behavior may result in immediate termination.

Prohibited Uses

The following are strictly prohibited:

  • Illegal activity of any kind

  • Storage or use of hazardous, flammable, or dangerous materials

  • Excessive noise, nuisance behavior, or disturbances

  • Activities that may damage the property or interfere with building operations

We reserve the right to determine what constitutes inappropriate or prohibited use.

Access, Security & Lockout

  • Access is provided via keycode or other designated method

  • You may not share or distribute access credentials

  • We reserve the right to modify or revoke access at any time

In the event of non-payment or violation:

  • Access may be restricted or terminated without notice

Right of Entry

We reserve the right to enter your office at any time, with proper notice, for purposes including but not limited to:

  • Inspection

  • Maintenance or repairs

  • Safety concerns

  • Enforcement of this agreement

  • Showing the space to prospective members

Personal Property & Risk

All personal property is brought onto the premises at your own risk.

We are not responsible for:

  • Loss

  • Theft

  • Damage

  • Business interruption

You are encouraged to carry appropriate insurance.

Default & Collections

Failure to comply with this agreement, including non-payment, may result in:

  • Immediate suspension or termination

  • Denial of access

  • Removal of personal property

You agree that:

  • You remain responsible for all outstanding balances

  • We may pursue collection efforts, including third-party collections or legal remedies

  • You may be responsible for reasonable collection costs and fees

Abandonment

If your office is vacated or left with belongings after termination or lockout:

  • We may remove, store, or dispose of items at our discretion

  • We are not liable for any loss or damage

Changes to Terms

We reserve the right to update or modify these terms at any time.

Continued use of the space constitutes acceptance of any updated terms.

Agreement Acceptance

By signing up, submitting payment, or using the office, you acknowledge that:

  • You have read and understood this agreement

  • You agree to all terms outlined above

  • You accept that this is a revocable membership, not a lease
